Remgro
South African investment holding company with roots in Anton Rupert’s Rembrandt Group and the restructuring of its South African interests in 2000.
Published · Last reviewed
Remgro is a South African investment holding company based in Stellenbosch. It traces its origins to Rembrandt’s incorporation in 1948. The Remgro structure emerged from the South African restructuring in September 2000. [1]
History
The 2000 restructuring left established investments with Remgro and telecommunications and technology interests with VenFin. Their merger in November 2009 reunited these branches. [1]
Remgro distributed its major BAT investment to shareholders in November 2008. It later continued to reshape its portfolio through acquisitions, disposals and distributions. Its 2026 results report the disposal of residual FirstRand and BAT interests. [1][3]
What does Remgro invest in?
Remgro’s portfolio spans healthcare, consumer products, finance, industry and infrastructure. Its September 2026 website identifies investments including RCL Foods, OUTsurance, Heineken Beverages and Community Investment Ventures Holdings. The size and form of each holding differ. [4]
A holding company owns stakes in other businesses. It may own a subsidiary outright or share an investment with other shareholders. Remgro’s portfolio therefore requires company-level records, rather than a single list of businesses labelled as personal Rupert property. [4]
Ownership and voting rights
The 2025 annual report records Rupert Beleggings as holder of all Remgro’s unlisted B ordinary shares. Those shares carried 43.04% of total votes at 30 June 2025. This is a dated reporting snapshot, not a September 2026 ownership percentage. [2]
Each Remgro ordinary share carries one vote. Each B ordinary share carries ten. The percentage of votes attached to the B shares must not be described as the percentage of Remgro’s economic value owned by the family. [2]
The July 2026 healthcare restructuring
Remgro’s Mediclinic restructuring took effect on 1 July 2026. Remgro then owned all of Mediclinic Southern Africa and no longer held Hirslanden. It retained joint interests with MSC in the Middle Eastern business. [3]
